Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Hex Nebula (“Company,” “we,” “our,” or “us”), including our website at hexnebula.com, client portal, and any related services, you agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately.

2. Services Provided

Hex Nebula is a digital creative agency offering the following services:

• Web design and development (custom websites, web applications, e-commerce platforms)
• Brand identity design (logos, visual systems, brand guidelines)
• UI/UX design and consultation
• Digital marketing strategy and execution
• Content creation, multimedia production, and documentary filmmaking
• SEO optimization and analytics implementation
• Client portal access for project tracking and communication

3. Client Accounts

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials, including one-time passwords (OTPs) sent to your email. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Project Engagements

4.1 Proposals and Quotations

All project proposals and quotations are valid for 30 days from the date of issue unless otherwise specified. Quotations are estimates and the final cost may vary based on scope changes, additional revisions, or unforeseen complexity.

4.2 Project Scope

The scope of each project will be defined in a separate agreement or statement of work (SOW). Any changes to the scope may result in additional fees and timeline adjustments, which will be communicated to you for approval before proceeding.

4.3 Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary assets (logos, content, images) as outlined in the project agreement. Delays caused by the client may affect project timelines and delivery dates.

5. Payment Terms

• A non-refundable deposit of 30-50% is required before project commencement, unless otherwise agreed
• Remaining balances are due upon project milestones or final delivery as specified in the SOW
• Late payments may incur a late fee of 2% per month on the outstanding balance
• We reserve the right to pause or suspend work on projects with overdue payments
• All prices are quoted in the currency specified in the proposal and are exclusive of applicable taxes

6. Refund Policy

Initial deposits are non-refundable. If a project is cancelled by the client after work has commenced, payment for all completed work and incurred expenses will be due. Refunds for prepaid but undelivered services will be assessed on a case-by-case basis. Digital products and deliverables are non-refundable once delivered and approved by the client.

7. Intellectual Property

7.1 Ownership

Upon full payment, all final deliverables created specifically for the client become the property of the client. Hex Nebula retains the right to use project work in our portfolio, case studies, and marketing materials unless a separate non-disclosure agreement (NDA) is in place.

7.2 Pre-existing Materials

Any pre-existing intellectual property, tools, frameworks, or code libraries used in the creation of deliverables remain the property of Hex Nebula or their respective owners. Clients receive a non-exclusive license to use such materials within the delivered project.

7.3 Third-Party Assets

Any third-party assets (stock images, fonts, plugins, etc.) used in projects are subject to their respective license terms. Clients are responsible for maintaining valid licenses for any third-party assets incorporated into their deliverables.

8. Limitation of Liability

To the maximum extent permitted by law, Hex Nebula shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. Our total liability for any claim arising from these terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Warranties and Disclaimers

Our services are provided “as is” and “as available.” While we strive for excellence and quality, we make no warranties, express or implied, regarding the suitability, reliability, or accuracy of our services. We do not guarantee specific results, rankings, or revenue outcomes from marketing or SEO services.

10. Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. We reserve the right to terminate or suspend your access to our services without notice for violations of these terms, fraudulent activity, or any conduct harmful to our business or other users.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Gujarat, India.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised terms.
